Appeal To Liquidate Mitchell Press Dismissed
BURNABY, BC—
The British Columbia Court of Appeal has upheld a lower court decision rejecting a bid by a former CEO and shareholder to liquidate and dissolve Mitchell Press Limited and its affiliated companies, finding the move would not be “just and equitable” under the province’s Business Corporations Act. The court dismissed both the appeal and an application from the former CEO — referred to as D.C., former CEO — to introduce fresh evidence of the companies’ continued financial decline. D.C., who was terminated for cause in 2022,
argued he was trapped in “shareholder purgatory” because he could not sell his minority stake without approval from the majority voting shareholder. Started in 1928, Mitchell is located in Burnaby BC, operates out of a 64,000 sq.ft. facility. Independently owned. The Mitchell Group consists of Mitchell Press, Mitchell Digital, and trade service Pacific Bindery. They are listed as Canada's 64th largest printers and one of Western Canada's largest independent printers.
