RR Donnelley Pays $775,000 To Settle Lawsuit
CHICAGO—
RR Donnelley has resolved a Claim for Mootness Fee in Lawsuit That Alleged Breach of Fiduciary Duty During Its Sale. Plaintiffs alleged breaches of fiduciary duty against RRD’s directors based on their alleged failure to obtain the highest price reasonably available for the company’s stockholders in connection with a definitive merger agreement the company entered into with the Atlas Defendants,
and for employing certain defensive measures that prevented the company from entering into a value-maximizing merger agreement.Plaintiffs sought Defendants and/or the company subsequently agreed to pay $775,000.00 to Plaintiffs’ counsel for attorneys’ fees and expenses in full satisfaction of the claim for attorneys’ fees and expenses in the Patodia Action.
